What happens after you arrange a call

You will speak to a director or the business, who will qualify your eligibility for investment and then talk you through the benefits and risks of investing with Helmsley and of property syndication. You will not be presented with any investment opportunities at the first meeting.

The first conversation

The first call is mostly ours to listen to. We ask what you already hold, what the capital is meant to do, and whether the money would come personally, through a company or from a pension arrangement. We do not put a building in front of you on that call.

We also set out what a syndicate is and what it is not. Each syndicate buys one commercial building, investors hold it jointly, the minimum stake is £50,000, and no participant may hold more than 25%. Decisions are taken by a 75% majority of participants, so you are one voice among a group of fifteen or more holders in a typical syndicate. The schemes are unregulated collective investment schemes and carry no Financial Services Compensation Scheme cover and no access to the Financial Ombudsman Service.

We allow half an hour for the first conversation, or if preferred we will instead arrange a meeting, either at our office or yours, to discuss what Helmsley offer face to face.

Investor categorisation, and why it comes first

Before we can discuss a specific building, its passing rent, its yield or its price, we need your investor category confirmed in writing. Participation is open only to certified high net worth investors, certified sophisticated investors and self-certified sophisticated investors.

The form asks about income, net assets, and your history of investing in unlisted or unregulated products. Some people find that intrusive on a first approach. That is a fair reaction and we would rather acknowledge it than dress the step up as a formality.

The requirement exists because these schemes sit outside the retail regime. The protections attached to regulated retail products are absent here, so the law restricts who may be approached at all, and categorisation is the gate. Helmsley Securities Ltd and Helmsley Acceptances Ltd have been authorised and regulated by the Financial Conduct Authority since 2014, and that authorisation is what obliges us to apply the gate properly rather than loosely.

We cannot waive it, shorten it, or take it verbally. This is completed on the Helmsley portal, or we can bring hardcopy forms with us to a meeting if more convenient.

Receiving investment opportunities

Only after we have talked you through how syndication works and the necessary forms have been completed, will we present you with investment opportunities. We would rather an investor started small and took one holding before adding others, once the model has worked as they expected. Some clients will meet with us and wait several months or even years before actually investing. There is no pressure to invest once you become a Helmsley client. Just review any investment opportunities we put forward and only go into an investment you are comfortable with and fits your risk profile.

Investment marketing material will set out the property, the tenancies and unexpired terms, the passing rent, the price, the fees, and any share of uplift in value on sale that applies to that syndicate. A share of uplift applies on some syndicates and not on others.

Solicitors and funds

Solicitors are instructed once an application is accepted. We use no bank debt on any syndicate, so there is no lender to satisfy and no funding condition to fall away, which shortens the timetable and also means the equity has to be genuinely in place.

Where a SIPP or SSAS is buying, the provider's own process runs alongside and usually governs the pace.

Completion, the portal and the first distribution

At completion the building is bought and your holding is recorded.

Your investment will be available to view on the portal. Sign-in uses a password and a code sent to your phone. The portal shows each holding with its syndication price, current valuation, rent and yield, alongside documents, messages and forms, and carries a Buy and Sell page where holders offer stakes with a guide price. An iPhone app is in beta.

Rental income is distributed quarterly, net of management costs.

One limitation applies from day one. A holding may be offered for sale at any time after the initial period. We have an active market in stakes among our own client investors, but a sale may not be possible when you want it, and you may get back less than you invested.
