General
Who are we?
Helmsley Group is a privately owned property investment and development business based in York. Founded in 1980, we have helped hundreds of private investors, now more than 800, invest in UK commercial property, fund residential development and take part in long-term regeneration schemes such as Coney Street Riverside in the heart of the city.
What do we do?
We bring investors together to own property and fund development without bank debt. There are three ways to invest: syndicated commercial property, which pays rental income; development loans, which pay interest over one to two years; and developments, where investors share the profit at exit. Every investment is secured against UK land or property, and our in-house team manages it day to day.
Who regulates us?
Helmsley Securities Ltd and Helmsley Acceptances Ltd are authorised and regulated by the Financial Conduct Authority, register numbers 665743 and 715178, and have been since 2014. Helmsley Group’s lending activities are not regulated by the FCA and we do not provide regulated mortgage products. These investments are not covered by the Financial Services Compensation Scheme or the Financial Ombudsman Service.
Who can invest?
Our opportunities are open only to high net worth individuals, sophisticated investors and other qualifying persons, and are not suitable for retail investors. Before we can tell you about a specific opportunity you will be asked to certify which category applies to you.
How much do I need to invest?
A stake in a syndicated property starts at £50,000. Our development schemes are typically funded by 10 to 15 investors contributing upwards of £50,000 each, and each loan is funded by several investors who each take a share of it.
How do I start?
Register on the website. You confirm your email address and mobile number, tell us about yourself, complete the investor declaration and set a password, which opens your client portal account. We then complete the eligibility steps required before any current opportunity is shown to you. You can review the full documents and decide whether to participate, taking independent advice where appropriate. If you would rather talk first, contact us or call the office.
Your money
How is my money held and secured?
Every investment is secured on UK land or property and funded entirely by investor equity, with no bank debt. Each deal stands alone, with no pooled exposure to other investments. Capital is at risk. Values can fall as well as rise, past performance is not a reliable guide to future results, and these investments are not covered by the Financial Services Compensation Scheme or the Financial Ombudsman Service. When will I receive distributions?
Rental income from a syndicated property is distributed quarterly, net of management costs, to your nominated bank account. Interest on a loan is paid when the loan is repaid, typically 15 to 16 months from the start. Profit from a development is shared when the scheme is sold.
Can I sell my investment?
You may sell your individual syndicate holding, but there is no ready market, so a sale can take time and may not be possible when you want it. A stake is harder still to sell when a lease break or renewal is approaching or if the property is vacant, and you may get back less than you invested. Loans and developments run to the end of their term.
What is a sophisticated investor?
A self-certified sophisticated investor has signed a statement within the last twelve months confirming they have sufficient knowledge to understand the risks of non-mainstream pooled investments. A certified sophisticated investor holds a certificate to the same effect, issued within the last 36 months by an FCA-authorised firm. A high net worth investor has signed a statement within the last twelve months certifying an annual income of at least £100,000, or net assets of at least £250,000 excluding their home, their pension and certain insurance policies. We will guide you through the certification.
Can I invest through my pension?
Many of our investors hold their stakes through a SIPP or a SSAS. Whether a particular syndicate can be held in your scheme depends on the scheme rules and on your provider, and the tax treatment depends on your circumstances. Tax rules change. Please take professional tax and pensions advice before you invest.
What does it cost?
There are no entry fees or trail fees on a property syndicate, so your return is calculated on the whole amount you invest. Management costs are taken from rental income before it is distributed. On a development the management fee and profit share are set out at the outset. Where a profit share, or a share of any uplift in value, applies to a syndicate, it is set out in that syndicate’s offer document.
Will I be kept up to date?
Yes. An independent valuation of each syndicated property is obtained every year, and the figures for each of your holdings are kept current in your client portal. Every message and document from the team is kept there too, and we tell you by email, text message or app notification when something new arrives.
Technology
Can I view my investments online?
Yes. Every client has a secure online portal. It shows each holding with its syndication price, current valuation, rent and your yield, alongside your documents, messages and forms. You sign in with your password and a code sent to your phone, and it works in any browser on a phone, tablet or computer.
Do you have an app?
An iPhone app for the client portal is in beta with our investors. It signs in with Face ID and lets you know when a new document or message arrives. Ask the team if you would like to try it.
Can I send you documents online?
Yes. Certificates, identification and forms can be completed and uploaded through the portal, and you can scan a paper document with your phone’s camera.
How is my information protected?
Your details are encrypted in transit and at rest, bank details are held encrypted and any change to them is confirmed with you before it takes effect, and signing in needs a code sent to your phone as well as your password.
